Our Approach

Flex strives for excellence in corporate governance practices, which the Company recognizes is fundamental to securing the trust of investors and key stakeholders. Anonymous Reporting

The Flex Ethics Hotline is available to all employees, suppliers, customers, investors, and other stakeholders anywhere in the world to report suspected violations of the Code of Conduct. Reports can be made either by calling the anonymous toll-free hotline or by filing a report on the Internet. The Ethics Hotline allows Flex to detect and investigate ethical problems, to manage them responsibly, and to take measures to prevent similar problems in the future. All reports are investigated by our internal audit team working in conjunction with compliance subject matter experts and the company’s legal department, as needed.

Board of Directors

Revathi Advaithi has served as Chief Executive Officer of Flex and a member of our Board of Directors since February 2019. Prior to Flex, Ms. Advaithi was president and chief operating officer for the Electrical Sector business for Eaton Corporation plc, a power management company with over $20 billion in sales, 102,000 employees and a market capitalization in excess of $33 billion. She also had corporate responsibility for the Europe, Middle East and Africa region. Ms. Advaithi managed the largest of Eaton’s businesses, consistently delivering high margins, while reducing earnings volatility. She secured more than $13 billion in sales in 2018, with an array of electrical solutions built on the strengths of full-scale engineering and support services. She also led several strategic initiatives including digital technology transformation and globally distributed innovation centers.

Previously, Ms. Advaithi was president of the Electrical Sector, Americas and was responsible for the company's Electrical business in North, South and Central America. Prior to that, she was president of the Electrical Sector for Asia Pacific in Shanghai, China.

In addition to her time with Eaton, Ms. Advaithi also worked at Honeywell for six years, with leadership roles spanning manufacturing, procurement, supply chain and sourcing, including a role as general manager, Automation and Control Solutions.

Ms. Advaithi is a co-chair of the World Economic Forum (WEF) Advance Manufacturing CEO Community (2022) and joined the WEF Alliance of CEO Climate Leaders (2021). She currently serves on the boards of directors of Uber and Catalyst.org and is also a member of the Business Roundtable and the Catalyst CEO Champions For Change initiative. Ms. Advaithi was recognized as one of Fortune’s Most Powerful Women in Business list for four consecutive years (since 2019) and named one of Business Today’s Most Powerful Women in India (2020).

Ms. Advaithi has a bachelor's degree in mechanical engineering from the Birla Institute of Technology and Science in Pilani, India and holds an MBA from the Thunderbird School of Global Management.

Michael D. Capellas has served as non-executive Chair of the Board and Chair and member of the Board’s Nominating, Governance and Public Responsibility Committee since June 2017, and as a member of our Board of Directors since March 2014. Mr. Capellas has served as founder and CEO at Capellas Partners, a strategic technology advisory firm, since November 2012. He served as the Chairman of the Board of VCE Company, LLC (VCE) from January 2011 until November 2012 and as VCE’s Chief Executive Officer from May 2010 to September 2011, a joint venture between EMC Corporation and Cisco with investments from VMware, Inc. and Intel Corporation which developed and commercialized an innovative platform for cloud computing. Mr. Capellas was the Chairman and Chief Executive Officer of First Data Corporation, a global leader in payments and electronic commerce, from September 2007 to March 2010. From October 2006 to July 2007, Mr. Capellas served as a Senior Advisor at Silver Lake Partners. From November 2002 to January 2006, he served as Chief Executive Officer of MCI, Inc. (MCI), previously WorldCom, Inc. From March 2004 to January 2006, he also served as that company’s President. From November 2002 to March 2004, he was also Chairman of the Board of WorldCom, and he continued to serve as a member of the board of directors of MCI until January 2006. Mr. Capellas left MCI as planned in early January 2006 upon its acquisition by Verizon Communications Inc. Previously, Mr. Capellas was President of Hewlett-Packard Company from May 2002 to November 2002. Before the merger of Hewlett-Packard and Compaq Computer Corporation in May 2002, Mr. Capellas held various positions including President and Chief Executive Officer of Compaq, a position he had held since July 1999, and Chairman of the Board of Compaq, a position he had held since September 2000. Mr. Capellas held earlier positions as Chief Information Officer and Chief Operating Officer of Compaq. Mr. Capellas currently serves on the boards of directors of Cisco Systems, Inc. and The Beauty Health Company.

Mr. Harris most recently served as vice president of business development for Raytheon Company and chief executive officer of Raytheon International, Inc., a wholly owned subsidiary of Raytheon Company, a global engineering and technology company focused on aviation, space and defense. In this role, he was responsible for worldwide sales and marketing, Raytheon's international business and its government relations operations functions as well as developing and leading the execution of Raytheon's global business strategy. In his 35-year career with Raytheon, Mr. Harris held several leadership positions including vice president roles overseeing operations, contracts, supply chain, electronic systems, and intelligence, information and technical services. Mr. Harris currently serves on the boards of directors of Cisco Systems, Inc., ExxonMobil Corporation and Kyndryl Holdings, Inc. He received his Bachelor of Science degree in Business Administration from Boston University.

With over 25 years of business and technology leadership experience, Mr. Hurlston currently serves as president and chief executive officer of Synaptics Incorporated, a global leader in IoT semiconductor solutions and human interface solutions combining IoT and AI. Before joining Synaptics, he was chief executive officer and a member of the board of directors of Finisar Corporation, a leader in optical communications. He also served as executive vice president, worldwide sales and in a variety of management roles over the course of his nearly 20-year career with Broadcom Limited, a leading developer and supplier of a broad range of semiconductor solutions. Mr. Hurlston currently serves on the board of directors of Synaptics and serves on the Board of Executive Trustees of the UC Davis Foundation. He received his Bachelor of Science in Electrical Engineering and his MBA from the University of California, Davis.

Ms. McSweeney currently serves as executive vice president and chief people officer of UnitedHealth Group Incorporated, responsible for developing and implementing the company’s enterprise people and culture strategy, a role she has held since March 2022. Before that, from February 2022, she served as UnitedHealth Group’s executive vice president and chief of staff to the CEO. Ms. McSweeney had previously served as executive vice president, chief human resources officer of Optimum, Inc., the global health services platform of UnitedHealth Group with 180,000 employees worldwide since January 2017. Before joining Optum, she was executive vice president, chief human resources officer for IT leader EMC Corporation (now Dell EMC). In this role, she led all strategic and operational aspects of human resources, including organizational design, talent management, total rewards, diversity and inclusion, and the overall employee experience. She also served as chief human resources officer at VCE — a joint venture of EMC, Cisco and VMWare, Inc., and now a full business unit within EMC.

Chuck Stevens retired as CFO for General Motors Company in September 2018, after a 40-year career at the global automotive company that designs, manufactures, markets, and distributes vehicles and vehicle parts, and sells financial services. From 1994 to 2005, he held several leadership positions in General Motors' Asia Pacific region, including China, Singapore, Indonesia and Thailand. He returned to North America in 2006 and assumed the role of CFO for General Motors Canada, CFO for GM Mexico in 2008 and CFO for GM North America in 2010. In 2014, Mr. Stevens was named Executive Vice President and CFO of General Motors Corporation, where he was responsible for leading the company's financial and accounting operations worldwide. Mr. Stevens currently serves on the boards of directors of Eastman Chemical Company and Masco Corporation. He received his Bachelor of Industrial Administration from General Motors Institute (now Kettering University) and MBA from the University of Michigan, Flint.

Ms. Sylvester most recently served as U.S. Managing Director and U.S. Head of Electrification for ABB Ltd, a global technology company operating in the areas of electrification, robotics, power, and automation. Prior to joining ABB Ltd in 2019, she spent more than 30 years at GE, where she held a number of leadership roles including President and CEO of GE Current, a digital power service business delivering integrated energy systems, President and CEO of GE Lighting, a leading global lighting provider, and President and CEO of GE Intelligent Platforms, an industrial automation provider. Her global supply chain experience during her tenure at GE includes roles as Director of Sourcing for GE Lighting in Budapest, Hungary, and Global Sourcing Director for GE Lighting. Ms. Sylvester currently serves on the boards of directors of Harley-Davidson, Inc., Vontier Corporation and Waste Management, Inc. She holds a BSBA in Procurement and Production Management from Bowling Green State University and an MBA from Cleveland State University.

Mr. Tan has served as a member of our Board of Directors since March 2012. He previously served as the President and Chief Executive Officer and a member of the Board of Directors of STATS ChipPAC Ltd., a leading service provider of semiconductor packaging design, assembly, test and distribution solutions, from August 2004 to November 2015 and of its predecessor, ST Assembly Test Services Ltd., since June 2002. Mr. Tan joined ST Assembly Test Services Ltd. in May 2000 as its Chief Financial Officer, and in August 2004, he led the formation of STATS ChipPAC Ltd. with the acquisition of ChipPAC, Inc., becoming the combined company’s founding President and Chief Executive Officer. Prior to joining ST Assembly Test Services Ltd., Mr. Tan was an investment banker with Salomon Smith Barney, the global investment banking unit of Citigroup Inc. Before that, he held various senior positions in government and financial institutions in Singapore. Mr. Tan graduated with a Bachelor of Engineering (First Class Honors) from the University of Adelaide, Australia as a Colombo Plan Scholar. He also has a Master of Business Administration (Distinction) from the University of Pennsylvania’s Wharton School of Business, where he was elected a Palmer scholar.

After more than a 30-year career, in 2019, Mr. Ward retired as Vice President and Chief Financial Officer of Cummins Inc., a global power leader that designs, manufactures, distributes and services engines and related technologies. Prior to serving as Cummins’ CFO, Mr. Ward held a broad range of global financial leadership positions including serving as Vice President, Engine Business Controller and Executive Director, Power Generation Business Controller. Mr. Ward also serves on the board of directors of Corteva, Inc. Mr. Ward previously served as a director of E.I. du Pont de Nemours and Company and remained a board member through its merger with DowDuPont Inc. Mr. Ward received his HNC in Accounting at Dundee College of Commerce in the United Kingdom and his MBA from the University of Strathclyde in the United Kingdom.

Mr. Watkins has served as a member of our Board of Directors since April 2009. Mr. Watkins was Chief Executive Officer of Imergy Power Systems, Inc., a leading innovator in cost-effective energy storage solutions from September 2013, and appointed Chairman of the Board in January 2015, a position he held until August 2016. He previously served as Chairman of the Board of Bridgelux, Inc., a leading light emitting diode developer, from February 2013 to December 2013 and as its Chief Executive Officer from January 2010 to February 2013. He previously served as Chief Executive Officer of Seagate Technology, a provider of electronic data storage solutions and systems, from 2004 through January 2009, and as Seagate’s President and Chief Operating Officer from 2000 until 2004. During that time, he was responsible for Seagate’s hard disc drive operations, including recording heads, media and other components, and related R&D and product development organizations. Mr. Watkins joined Seagate in 1996 with the company’s merger with Conner Peripherals. Mr. Watkins currently serves as chair of the board of directors of Nextracker Inc.
